Local24 OpenRoaming Wi-Fi Terms of Use

## Article 1 (Application of These Terms)
Local24 Inc. (hereinafter referred to as “the Company”) provides a free public wireless LAN service (hereinafter referred to as “the Service”). These Terms of Use (hereinafter referred to as “the Terms”) apply to all users of the Service (hereinafter referred to as “Users”).
2. The Company may revise these Terms when necessary due to changes in laws and regulations, social conditions, or other circumstances. Any revisions shall be made in accordance with Article 548-4 of the Japanese Civil Code regarding amendments to standard contract terms.

## Article 2 (Application for the Service)
Anyone wishing to use the Service (hereinafter referred to as an “Applicant”) must agree to these Terms and the Public Wireless LAN Service Agreement before applying for and using the Service through the procedures specified by the Company.
A service agreement for the use of the Service (hereinafter referred to as the “Service Agreement”) shall be established when the Applicant gives such consent.
The Service also supports access through compatible profiles or roaming services (see Appendix). In such cases, the Service Agreement shall be deemed established once the connection is successfully completed.
If the Applicant is a minor, consent from a parent or legal guardian is required before applying.

## Article 3 (Conditions for Using the Service)
Users are responsible for preparing, at their own expense and responsibility, any communication devices, software, and other equipment necessary to use the Service.
The Company may provide a profile that helps users repeatedly access and use the Service more conveniently. Such profiles may also be used for roaming access to other compatible services in accordance with the terms agreed to when the profile was obtained.

## Article 4 (Service Fees)
The Service is provided free of charge.

## Article 5 (Restriction on Transfer of User Rights)
Unless prior written approval is obtained from the Company, Users may not transfer their status under the Service Agreement established pursuant to Article 2, nor assign, transfer, or pledge any rights or obligations arising from the Service Agreement to any third party.

## Article 6 (Use of Information Provided by Third Parties)
Users acknowledge and agree that any information provided by third parties remains the sole responsibility of the respective information providers. The Company is not a party to, nor responsible for, the provision of such information.

## Article 7 (No Warranty for Information Provided by Third Parties)
The Company makes no guarantees regarding the completeness, accuracy, reliability, usefulness, or suitability of any products, services, or information provided by third parties through the Service.
2. If any dispute arises between a User and a third party regarding products, services, or information provided by that third party, the Company shall bear no responsibility or liability for such dispute.

## Article 8 (Restrictions on Communications)
The Company may take one or more of the following measures if a User:
* engages in any prohibited activity described in Article 9;
* violates these Terms;
* fails to follow instructions or notices issued by the Company; or
* is deemed by the Company to require such measures for the proper operation of the Service.
The Company may:
* limit the bandwidth allocated to specific communications conducted by the User using particular communication methods; and/or
* temporarily suspend or restrict the User’s access to the Service.
2. The Company may restrict communications with websites or online destinations listed in the Child Pornography Address List maintained by the Internet Content Safety Association of Japan, for the purpose of preventing the distribution of child pornography.
In addition, the Company may restrict access (including through filtering) to websites or content that it considers inappropriate for minors from the perspective of youth protection.
3. To ensure fair use of limited network resources among many users, the Company may restrict communications that require large amounts of data, such as:
* video or audio streaming;
* software downloads;
* file-sharing services; or
* other communications that the Company reasonably believes may consume excessive bandwidth.
4. The Company is not obligated to take any of the measures described in this Article and shall not be liable for any damages suffered by Users or third parties resulting from the implementation or non-implementation of such measures.

## Article 9 (Prohibited Activities)
Users shall not engage in any of the following activities while using the Service. If the Company determines that a User has engaged in any such activity, the Company may suspend that User’s access to the Service.
1. Infringing or potentially infringing the copyrights or other rights of the Company or any third party.
2. Infringing or potentially infringing the property rights or privacy of the Company or any third party.
3. Causing or potentially causing disadvantage, loss, or damage to the Company or any third party.
4. Defaming, harassing, or damaging the reputation of the Company or any third party.
5. Engaging in conduct that is contrary to public order and morality, including obscene, prostitution-related, violent, cruel, or abusive activities, or providing such information to others.
6. Engaging in criminal acts, acts connected with criminal activities, or acts that may lead to criminal conduct.
7. Conducting election campaigns or similar political activities, whether during an official election period or otherwise.
8. Reselling, leasing, or otherwise using the Service itself for commercial purposes.
9. Establishing or promoting pyramid schemes or chain-distribution schemes.
10. Sending unsolicited advertisements, promotional messages, solicitations, fraudulent information, or nuisance emails that may cause discomfort to recipients.
11. Interfering with another party’s receipt of email, or requesting or participating in chain email forwarding.
12. Impersonating another individual or organization while using the Service.
13. Gaining unauthorized access to the Company’s systems or third-party systems, or engaging in unauthorized alteration, deletion, or other unlawful activities through the Service.
14. Using, transmitting, or distributing computer viruses, malware, or other harmful programs through or in connection with the Service.
15. Causing inconvenience, harm, or disadvantage to the Company or third parties, disrupting the Service, or interfering with its operation.
16. Using the Service in a way that significantly interferes with the use of the Service by others, whether directly or indirectly.
17. Bypassing procedures established by the Company for starting or accessing the Service without authorization, or assisting others in doing so.
18. Violating laws, regulations, or governmental requirements, or engaging in activities that may violate them.
19. Any other activity that the Company determines to be inappropriate.

## Article 10 (User Liability for Damages)

If a User’s actions described in Article 9 cause damage to the Company or any third party, the User shall remain fully responsible for all legal liabilities, including compensation for damages, even after the User loses eligibility to use the Service.

## Article 11 (User Responsibility)
If a User suffers any loss, damage, or legal liability in connection with information or files uploaded to or downloaded from the Service, the User shall be solely responsible for resolving such matters at their own expense and responsibility.
The User shall not make any claims against the Company or cause any inconvenience, burden, or liability to the Company in connection with such matters.

## Article 12 (Ownership and Intellectual Property Rights)
All programs, software, services, procedures, trademarks, trade names, and related technologies that make up the Service, including any services provided by third parties through the Service, are owned by the Company or the respective rights holders.
All intellectual property rights related to the Service belong to the Company or the relevant providers.

## Article 13 (Copyright)
Users may not use, reproduce, distribute, modify, or otherwise utilize any information or files provided through the Service beyond the scope of personal use permitted under applicable copyright laws unless they have obtained permission from the relevant rights holder.
2. Users may not allow third parties to use, publish, distribute, or otherwise make available any information or files provided through the Service without obtaining permission from the relevant rights holder.
3. If any dispute arises as a result of a User violating the provisions of this Article, the User shall resolve the dispute at their own expense and responsibility and shall ensure that no damage, loss, or liability is incurred by the Company.

## Article 14 (Use of Personal Information)
Any personal information obtained by the Company when an Applicant applies to use the Service, as well as any personal information obtained during a User’s use of the Service, shall be handled appropriately in accordance with the Company’s Privacy Policy.

## Article 15 (Information Delivery to Users)
While using the Service, Users may see information displayed within a web browser or application screen, including screens shown during the login process.
Such information may include event announcements, tourism information, local activities, store information, and other content that the Company considers beneficial to Users. The information may be provided by:
* the Company;
* facility managers responsible for locations where wireless access equipment is installed; or
* other third parties.
2. To display such information, the Company may modify a User’s communications only to the minimum extent necessary for displaying the relevant information.
This modification is limited to adding information required for displaying event notices or similar content and does not include altering encrypted communications, such as communications conducted through HTTPS connections.
3. Users may stop the display of such information and any related communication modifications described in this Article by ending their use of the Service.

## Article 16 (Termination of the Service Agreement)
If a User disconnects from the wireless access equipment used for the Service and does not reconnect within the period specified for that equipment, the Service Agreement shall automatically terminate without any notice from the Company.
The same applies when the Service is accessed using a Wi-Fi profile (connection settings) provided by the Company.
2. Once the Service Agreement has terminated, the User must complete the application process described in Article 2 again in order to use the Service.

## Article 17 (Suspension or Interruption of the Service)
The Company may suspend or interrupt all or part of the Service in any of the following circumstances:
1. When routine or emergency maintenance, repairs, upgrades, or construction work is required for the Service or the Company's systems, or when system failures or other unavoidable circumstances occur.
2. When the Service cannot be provided normally due to force majeure events, including but not limited to:
* war;
* riots or civil disturbances;
* labor disputes;
* earthquakes;
* volcanic eruptions;
* floods;
* tsunamis;
* fires;
* power outages; or
* other events beyond the Company's reasonable control.
3. When required by regulations, orders, or directives issued by national or local government authorities, or when another telecommunications provider suspends or interrupts services necessary for the operation of the Service.
4. When the Company determines that a temporary interruption is necessary for operational or management reasons.

## Article 18 (Disclaimer of Liability)
Except where otherwise provided by these Terms or the applicable Service Agreement, the Company shall not be liable for any damages suffered by Users in connection with the provision of the Service unless such damages are caused by the Company's intentional misconduct or gross negligence.
2. The limitation of liability set forth in the preceding paragraph shall not apply where the Service Agreement constitutes a consumer contract under the Consumer Contract Act of Japan.
3. The Company makes no warranty of any kind regarding the operation, compatibility, performance, or functionality of communication devices, software, applications, or other equipment used by Users in connection with the Service.

## Article 19 (Governing Law)
The formation, validity, performance, and interpretation of these Terms shall be governed by and construed in accordance with the laws of Japan.

## Article 20 (Good-Faith Consultation)
If any dispute arises between a User and the Company in connection with the Service, both parties shall make good-faith efforts to resolve the matter through mutual discussion and consultation.

## Article 21 (Jurisdiction)
If legal proceedings become necessary in relation to the Service, the district court having jurisdiction over the location of the Company's head office shall have exclusive jurisdiction as the court of first instance.

## Article 22 (Language Priority)
These Terms may be provided in multiple languages for convenience.
If any discrepancy, inconsistency, or difference in interpretation arises between the Japanese version and any translated version, the Japanese version shall prevail and take precedence.


## Supplementary Provision
These Terms shall come into effect on July 25, 2023.

# Important Notices
To help protect minors, the Service may restrict access to websites and online destinations listed in the Child Pornography Address List maintained by the Internet Content Safety Association of Japan.
In addition, the Company may restrict access to websites or content that it considers inappropriate for minors, including through content-filtering measures.
Furthermore, in order to ensure fair use of limited network resources among all users, the Company may limit communications that consume large amounts of bandwidth, including but not limited to:
* Video streaming services;
* Audio streaming services;
* Software downloads and updates;
* File-sharing services; and
* Other communications that the Company determines may place a significant burden on network resources.

# Service Improvement and Statistical Use of Information
The Company may collect and analyze non-personally identifiable information, such as location data, usage times, language settings, and other service usage information.
Such information may be used for statistical analysis, service quality improvement, enhancement of user experience, development of new services, and operational optimization.
No personally identifiable information will be disclosed through such statistical processing.

## About the Wireless Broadband Alliance (WBA)
The Wireless Broadband Alliance (WBA) is a global industry organization consisting of telecommunications operators, technology companies, equipment vendors, and public Wi-Fi service providers.
In Japan, a domestic roaming platform known as Cityroam has been established and operated since 2018, led primarily by Tohoku University. As a WBA member organization, it also participates in the development and operation of authentication and roaming infrastructure.
## About Cityroam
Cityroam is a Wi-Fi roaming federation that enables users to access public wireless networks securely and automatically using credentials issued by internet service providers (ISPs), telecommunications carriers, educational institutions, and guest access systems.
Cityroam is interconnected with multiple domestic and international roaming federations, including:
* eduroam, the global roaming network for education and research institutions;
* WBA OpenRoaming, which connects telecommunications operators, municipalities, enterprises, and public venues worldwide; and
* Other participating Wi-Fi roaming federations.
